Extractions: The Oklahoma Legislature recently passed House Bill 2398 which modified the Oklahoma Banking Code to include several important provisions regarding the confidentiality and discoverability of certain "compliance review documents" of a state chartered or federally chartered depository institution located in the State of Oklahoma. This legislation has potentially broad applications to exclude documents routinely prepared by depository institutions from discovery in civil lawsuits. The purpose of this Advisory is to inform you of the nature and significance of these modifications. These new provisions were effective May 6, 1994. House Bill 2398 amended Section 208 of the Oklahoma Banking Code to provide that "compliance review documents" are confidential and are not discoverable or admissible in evidence in any civil action arising out of matters evaluated by the depository institution's compliance review committee. The term "compliance review documents" is broadly defined as any documents prepared for or created by a "compliance review committee" of a state or federally chartered financial institution located in Oklahoma that is authorized to maintain deposit or share accounts. The definition of compliance review committee is very broad and is not limited to a committee whose function is solely compliance activities. A Section 208 "compliance review committee" includes an audit, loan review or compliance committee appointed by the board of directors of a depository institution, or any other person who acts in an investigatory capacity at the direction of a compliance review committee. Included within the definition of a compliance review committee is the loan review committee of the institution. The loan review committee includes a person or group of persons who on behalf of the institution reviews loans for the purpose of assessing the credit quality of the loans, compliance with the loan policies of the institution and compliance with applicable laws and regulations.
