03:00 AM May. 11, 1999 PT A former PairGain Technologies engineer pleaded innocent to federal charges of fabricating a news report in order to drive up the stock price of his employer. Gary Dale Hoke, of Raleigh, North Carolina, was ordered to stand trial on 6 July on five counts of securities fraud. If convicted, he faces a maximum penalty of 10 years in prison and a US$1-million fine. Bail was set at $50,000.

Hoke, 25, is accused of posting a fake report suggesting that PairGain, a telecommunications equipment manufacturer based in Tustin, California, was about to be acquired by an Israeli company. The story was formatted to look like it had been posted on the Bloomberg News Web site. The 7 April hoax caused a 31 percent surge in PairGain's stock price, which fell when the company denied that such a deal was in the works.

Fax: (415) 436-7234 August 5, 2002 The Federal Bureau of Investigation, the United States Attorney's Office for the Northern District of California, and the Securities Exchange Commission ("SEC"), announced today that the FBI has created a new website and hotline that will allow concerned citizens to report possible securities fraud to the FBI. The website is located at sanfrancisco.fbi.gov and the hotline phone numbers are 415-551-7100 or 800-207-7676. Securities fraud may be any deceptive practice or activity conducted in connection with securities, such as stocks, bonds, commodities or other investments. Examples of conduct that may constitute securities fraud include: a) providing false information in a company financial statement; 2) providing false information in filings with the Securities and Exchange Commission; 3) lying to company auditors or the SEC; 4) insider trading, that is, using confidential inside information to trade stock; 5) stock manipulation schemes; and 6) embezzlement of investor money by brokers. Any citizen with information of evidence concerning such fraud should call the FBI or visit its website to report the fraud. The FBI, the United States Attorney's Office and the SEC, have made securities and other financial fraud a priority. Although not all apparent misconduct in the securities industry or financial markets can be prosecuted criminally, the FBI and the United States Attorney's Office are committed to ensuring that fraud in the financial markets will be investigated and prosecuted where there is sufficient evidence of criminal misconduct. The potential penalties for a violation of the federal laws prohibiting fraud in connection with the purchase or sale of securities is a maximum of 10 years imprisonment, a fine of $1,000,000, restitution, and a term of supervised release.

Authorities Arrest Former Jack Nicklaus Executives on Securities-Fraud Charges

Knight Ridder/Tribune Business News Mar. 19Two former executives with Jack Nicklaus' Golden Bear Golf Inc. face securities-fraud charges that they falsely reported millions of dollars in revenue, according to a federal indictment unsealed Tuesday. John R. Boyd and Christopher Curbello, the former president and vice president of a defunct subsidiary of Golden Bear Golf, already were the targets of a Securities and Exchange Commission civil lawsuit alleging they inflated their company's revenue by at least $25 million. Federal authorities arrested Boyd, 45, early Tuesday in Bogota, Colombia. Curbello, 42, was arrested Friday in San Antonio. The two men headed Paragon Construction Inc. from January 1997 to April 1998 until Golden Bear officials discovered accounting irregularities, according to the indictment unsealed in West Palm Beach federal court. Paragon Construction was involved in building golf courses. Because they falsely reported revenues, they caused Golden Bear Golf Paragon's parent company to unknowingly file incorrect information in its SEC filings, the indictment states. At the time, Golden Bear Golf was a publicly owned company, but it is now private.

In the June 2002 decision in Re Hogan , 2002 BCSECCOM 537, the British Columbia Securities Commission held that a British Columbia resident committed Securities Act R.S.B.C. 1996, c. 418 offences by engaging in a "simple, sweeping and fast" Internet pump-and-dump scheme. The Securities Commission confirmed that existing securities laws apply to the Internet, and refused to apply a different regulatory approach to Internet securities activities. Hogan, using nicknames and aliases, sent fraudulent e-mails and posted thousands of fraudulent chat room and bulletin board messages at various Internet sites (including Yahoo.com and SiliconInvestor.com) regarding five publicly traded companies whose shares were quoted on the NASD Over-the-Counter Bulletin Board. Hogan sent the e-mails and posted the messages intending to create the appearance of trading activity in the companies' shares and cause the share prices to rise. He bought and sold the shares to profit from the artificially high prices caused by his misrepresentations. The Securities Commission expressly rejected Hogan's call for a different regulatory approach towards the Internet, reasoning that the existence of Internet vulnerabilities did not justify their exploitation. February 10, 2003 Abbey Gardy, LLP commenced a Class Action lawsuit in the United States District Court for the District of Utah on behalf of a class (the "Class") of all persons or entities who purchased securities of ClearOne Communications, Inc. ("ClearOne" or the "Company") (Nasdaq: - CLRO News) between January 16, 2001 and January 15, 2003, inclusive (the "Class Period"). The Complaint charges ClearOne and, Frances M. Flood, the Company's Chairman, CEO and President, and Susie S. Strohm, the Company's CFO and Vice President of Finance with violations of the Securities Exchange Act of 1934. The Complaint alleges that, in order to inflate the price of ClearOne's stock, defendants caused the Company to falsely report its financial results during the Class Period through improper revenue recognition practices, including recognizing revenue for shipments to distributors even though the distributors had the right to return or exchange unsold goods. As a result of this inflation, ClearOne was able to complete a private offering of 1.2 million shares, raising proceeds of $25.5 million on December 11, 2001. On January 15, 2003, the last day of the Class Period, the Securities and Exchange Commission ("SEC") filed a federal lawsuit alleging that defendants violated numerous federal securities laws, primarily through a program of "channel stuffing" - shipping large amounts of inventory to the company's distributors with the understanding that the distributors did not have to pay for these products until the distributors resold the products, and that in some instances the distributors were given the right to return or exchange products the distributors were unable to sell.
